1. The Service Provider and the Platform
1.1. Details of the Service Provider
Pursuant to Section 4 of Act CVIII of 2001 on certain aspects of electronic commerce services (the 'E-Commerce Act'), the Service Provider makes the following information continuously, easily, directly and durably accessible:

1.2. Name of the Platform
The "Toko" (hereinafter: Platform) is an influencer monetization software service available at mytoko.hu. The Platform allows registered Creators to create their own public storefront and place on it products from the Service Provider's catalog, which is synchronized with affiliate (partner program) networks.
2. Definitions

3. Scope, Acceptance, and Amendment of the GTC
- These GTC set out the content of the contract concluded between the Service Provider and the Creator for the use of the Platform. The language of the contract is Hungarian, it qualifies as a written contract, and the Service Provider registers and stores it electronically.
- By registering and ticking the relevant checkbox, the Creator declares that they have read and accept the GTC and the Privacy Notice as binding upon them. The Service Provider sends an electronic confirmation within 48 hours (Section 6 of the E-Commerce Act).
- With regard to use of the Platform, Visitors are subject to the provisions of these GTC governing use, liability, and data processing; the Visitor concludes a sales contract with the Merchant that is independent of the Platform.
- The Service Provider may unilaterally amend the GTC. The Service Provider shall notify the Creator of any material amendment by email or via the Platform at least 15 days before it takes effect. If the Creator does not accept the amendment, they may terminate the contract before it takes effect; continued use of the Platform shall be deemed acceptance of the amendment.
4. Description and Legal Nature of the Service
- The Platform is an intermediary service: the products displayed on a Creator's storefront are neither sold nor shipped by the Service Provider. By clicking the "Buy" button, the Visitor is taken to the Merchant's online store, where the sales contract is concluded directly between the Visitor and the Merchant.
- The Service Provider acts as an intermediary under the rules applicable to hosting and intermediary service providers (the E-Commerce Act and Regulation (EU) 2022/2065, the "DSA"). The Service Provider is not obliged to monitor information it transmits or stores, but upon becoming aware of illegal content it acts in accordance with Section 18.
- The Platform uses its own shortened links (mytoko.hu/go/…) to log clicks and to redirect to the affiliate link. The Merchant is responsible for the availability, price, description, and fulfillment of the products.
Important: The consumer right of withdrawal and the statutory warranty apply to the sale between the Visitor and the Merchant (under Government Decree 45/2014 (II. 26.) and the Civil Code). These are fulfilled by the Merchant; the Platform is not a party to the purchase.
5. Registration and Approval (Review) Process
- Creator registration requires an email address, password, username, and social media handles. Registration creates a record in the creators table with pending status (verified_at = null).
- Automated pre-screening: the Service Provider uses automated tools to check whether the applicant's follower count reaches the prevailing minimum threshold. Applications that do not reach this threshold may be rejected by the system.
- Manual review: applications that pass pre-screening are reviewed manually by a member of the Service Provider's staff (based on the nature of the account, the information provided, and the style of content), in order to maintain the exclusivity of the Platform. Approval or rejection is at the Service Provider's discretion; an applicant has no right to be approved.
- If approved, the storefront goes live (mytoko.hu/@username) and the Creator gains access to the catalog and the dashboard. If rejected, the storefront is not created, and the Creator receives an email with the reasons and, where applicable, information on the possibility of reapplying.
- The Creator must provide truthful information. Misleading information regarding follower count, authenticity, or identity shall result in rejection of the registration or immediate termination of the account.
6. The Creator Account and the Storefront
- The username determines the public address of the storefront and forms the basis of shared links. The username cannot be changed after approval; in exceptional cases, at the Service Provider's discretion, a change may be accommodated via a redirect. The Service Provider does not guarantee the continued functioning of previous links.
- The Creator is responsible for the security of their account and for safeguarding their login credentials. Every action carried out on the account shall be deemed to have been carried out by the Creator until the Creator reports any misuse.
- A natural or legal person may maintain only one Creator account, unless the Service Provider grants written permission otherwise. Maintaining multiple accounts or registering abusively in another person's name is prohibited.
7. The Affiliate Model and Commission
- The Creator places products from the catalog on their storefront. For this purpose, the Platform generates a tracking link containing sub-identifiers (subid = creator_id, subid1 = product_id) and conceals it behind its own short link.
- If the Visitor completes a commission-eligible purchase from the Merchant via the tracking link, the Affiliate Network records the purchase as a Conversion under the Service Provider's account. The full (gross) Commission is initially paid to the Service Provider.
- By default, the Commission is shared as follows: Creator's Share 70%, Platform Share 30%. Based on the tier classification (Section 8), the Parties may deviate from this in the Creator's favor. The split is based on the gross Commission actually approved and paid out by the Network.
- A Conversion remains pending until confirmed by the Network. During the verification period provided by the Merchant (typically 30–90 days), the Conversion may become approved or rejected. The Creator's Share accrues only in respect of approved Conversions.
- Clawback: if a previously approved Conversion — which may already have been paid out — is subsequently rejected by the Merchant (e.g. due to a return, refund, or chargeback), the corresponding Creator's Share becomes repayable. The Service Provider shall deduct any amount already paid out but subsequently rejected from the next payment(s). If there are insufficient funds, the Creator's balance may become negative, to be covered by future approved Conversions.
- The Service Provider regularly synchronizes the status of Conversions based on the statistical data of the Affiliate Network. Settlement is based on the data confirmed by the Network; in the event of any discrepancy, the Network's data shall prevail.
8. Tier System
Based on the number of sales or the revenue generated, the Service Provider defines tiers, which may carry a higher Creator's Share:

The current threshold values and the corresponding rates are set out in the Platform dashboard. The Service Provider may change the tier conditions through the amendment procedure under Section 3.4.
9. Payment
- The payment service provider is Wise (Wise Payments Limited / Wise Europe). Before the first payment, the Creator must provide their payment (beneficiary) details, which the Service Provider stores in encrypted form.
- Payment threshold: HUF 10,000. The Service Provider initiates a payment only once the Creator's approved, unpaid balance reaches this amount. Wise's transaction fee decreases as the amount increases (starting at approximately 3.61%); Section 9.5 governs which party bears this fee.
- Payment schedule: monthly, typically on the 15th day of the month following the relevant month, in respect of Conversions approved up to that point and not yet included in a previous payment, reduced by any clawbacks under Section 7.5.
- For payments of a high amount (e.g. above EUR 1,000), the Service Provider applies a manual approval step. In the event of a KYC or data-matching failure, the payment is recorded as failed and is subject to manual review.
- Allocation of fees: to be confirmed in the finalized model. Expedited payment may be introduced later as a separate, fee-based service.
- The Creator is entitled only to amounts actually paid out to them; no payment is due in respect of pending Conversions. The Service Provider is entitled to withhold payment in the event of suspected fraud or an ongoing investigation, until its conclusion.
10. Obligations of the Creator
10.1. Content and Conduct Rules
- No-BYOL rule (no bring-your-own-link): the Creator may only use tracking links generated by the Platform; they may not place their own affiliate links and may not bypass the Platform's tracking chain.
- Only truthful, non-misleading content may be placed on the storefront; unlawful, misleading, or hate-inciting content, or content infringing copyright or trademark rights, is prohibited.
- The Creator may not manipulate clicks or Conversions (e.g. through artificial traffic, self-purchases, cookie stuffing, or incentivized clicking).
10.2. Advertising Disclosure Obligation
Since the Creator receives a commission on purchases, the storefront and the content promoting it qualify as advertising under Act XLVII of 2008 (Unfair Commercial Practices Act) and Act XLVIII of 2008 (Advertising Act). The Creator must clearly disclose the advertising nature and their financial interest in accordance with the Influencer Disclosure and Advertising Policy (an annex to these GTC). Breach of this obligation may result in suspension of the account and gives rise to the Creator's own liability.
10.3. Taxation
The Creator is solely responsible for fulfilling their own tax, contribution, and reporting obligations in respect of amounts paid to them. The Service Provider does not make any determination of the Creator's tax status; consultation with a tax advisor is recommended.
11. Fraud Screening and Account Suspension
- In its own legitimate interest and that of the Affiliate Networks, the Service Provider applies fraud-detection mechanisms, monitoring for unusual click patterns, unrealistic conversion-to-click ratios, geographic anomalies, and other indicators of abuse.
- In the event of suspected abuse, the Service Provider is entitled to suspend the affected Conversions, withhold payment, temporarily restrict the account, or, in the case of a serious or repeated violation, terminate the contract with immediate effect.
- Affiliate Networks may sanction abuse in accordance with their own network terms; the Service Provider is not obliged to compensate the Creator for any resulting loss of commission.
12. Rights and Obligations of the Service Provider
- The Service Provider strives for continuous availability of the Platform but provides it on an 'as is' basis. The Service Provider's liability for outages due to maintenance, development, or failures of third parties (hosting, Affiliate Networks, Wise) is subject to the limitations set out in Section 14.
- The Service Provider does not guarantee any revenue, clicks, conversions, or income. The achievable revenue depends on market conditions, Merchant programs, and the Creator's activities.
- The Service Provider is entitled to change the catalog, product range, network partners, and the functions of the Platform, and to exclude individual products or Merchants.
13. Intellectual Property
- The Platform, including its source code, appearance, trademarks, and databases, constitutes the intellectual property of the Service Provider (or its licensors). The Creator acquires no rights to these, only the right to use the Service for its intended purpose.
- Content uploaded by the Creator (bio text, avatar, layout) remains the property of the Creator; the Creator grants the Service Provider a non-exclusive, royalty-free license necessary for operating the Platform (display, caching, and rendering of the storefront).
- The Creator warrants that the content they upload does not infringe the rights of any third party.
14. Limitation of Liability
- Due to the intermediary nature of the Platform, the Service Provider is not liable for the quality of the Merchant's products, performance, delivery, or the exercise of consumer withdrawal or warranty rights — the Merchant is responsible for these.
- Except for liability for intentionally caused breaches of contract, and for breaches of contract resulting in loss of life, bodily injury, or harm to health, the Service Provider's liability is limited to the amount of the Platform Share actually paid to the affected Creator in the 6 months preceding the event giving rise to the claim.
- To the extent permitted by law, the Service Provider is not liable for damages resulting from defects in the services of third parties (Affiliate Networks, Merchants, Wise, hosting and email providers), nor for lost profits or indirect damages.
- In the event of force majeure (e.g. operational disruption, cyberattack, change in legislation, or a decision by a network partner), the Service Provider is exempt from liability.
15. Data Processing
The processing of personal data is governed by the Privacy Notice and the Cookie Notice, which are available on the Platform and which the Creator acknowledges upon registration. Data processing is carried out in accordance with Regulation (EU) 2016/679 (the 'GDPR') and Act CXII of 2011 on the right of informational self-determination and freedom of information (the 'Privacy Act').
16. Term and Termination of the Contract
- The contract is concluded upon approval, for an indefinite period.
- The Creator may terminate the contract at any time, without giving reasons, with 15 days' notice, by initiating deletion of the account. Termination shall not affect the payment of any approved balance already accrued, in accordance with Section 9.
- The Service Provider may terminate the contract with 30 days' notice, without giving reasons. In the event of a serious breach of contract (e.g. fraud, use of the Creator's own links, misleading information, unlawful content, or repeated breach of the advertising disclosure obligation), the Service Provider may terminate the contract with immediate effect and may restrict or delete the account.
- Upon termination, the storefront is taken offline (404) and shared links cease to function. The Service Provider shall settle any approved, non-time-barred balance in accordance with the payment rules; pending Conversions will not be paid out until confirmed by the Network.
17. Complaint Handling and Legal Remedies
- The Creator may submit a complaint to info@aivenue.solutions. The Service Provider shall examine the complaint and respond on the merits within a reasonable time, but no later than the 30-day period applicable to consumer complaints.
- A Creator qualifying as a consumer may turn to the conciliation board having jurisdiction over their place of residence. The board with jurisdiction over the Service Provider's registered seat is: Budapesti Békéltető Testület (1016 Budapest, Krisztina krt. 99., 3rd floor). Further information on conciliation boards is available at: bekeltetes.hu.
- For disputes relating to online purchases, the European Commission's Online Dispute Resolution (ODR) platform may be used: ec.europa.eu/consumers/odr.
- Consumer protection authority proceedings may be initiated at the competent county government office. In data protection matters, the National Authority for Data Protection and Freedom of Information (NAIH, 1055 Budapest, Falk Miksa utca 9–11.; naih.hu) has jurisdiction.
- The Parties shall primarily attempt to resolve any disputes through negotiation; failing that, the competent Hungarian court shall have jurisdiction.
18. Provisions under the Digital Services Act (DSA)
- Point of contact: both users and authorities may contact the Service Provider electronically, in Hungarian and English, at info@aivenue.solutions.
- Notice-and-action mechanism: any person may notify the Service Provider if, in their view, a storefront or content is unlawful. The Service Provider shall handle such notices in a timely, diligent, and non-arbitrary manner, and shall inform the parties concerned of its decision (e.g. removal of content, restriction of the account) together with the reasons therefor.
- The Service Provider reserves the right to remove content that is unlawful or in breach of these GTC, and shall give reasons for its actions in accordance with the transparency requirements set out in the DSA.
19. Miscellaneous and Final Provisions
- If any provision of these GTC is invalid, this shall not affect the validity of the remaining provisions.
- In matters not regulated by these GTC, Hungarian law shall apply, in particular the Civil Code (Act V of 2013), the E-Commerce Act, the Unfair Commercial Practices Act, the Advertising Act, Act CLV of 1997 on consumer protection, the Privacy Act, and the GDPR.
